Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TelosX platform, including the website at www.telosx.ai, the application at app.telosx.ai, and all related services (collectively, the "Service"). The Service is operated by Dwellingly Inc., a Texas company doing business as TelosX ("we," "us," or "our").

Please read these Terms carefully before using TelosX. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Agreement to Terms

By creating an account or otherwise accessing the Service, you confirm that you are at least 18 years of age and that you agree to comply with and be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Description of Service

TelosX is an AI-powered productivity platform that provides:

• Task, project, goal, and milestone management
• Custom workspace applications with multiple view layouts
• An AI assistant for productivity guidance, content generation, and email drafting
• Habit tracking with streaks and progress analytics
• A social feed for sharing productivity updates with privacy controls
• Email integrations with Gmail and Microsoft Outlook
• AI-generated daily briefings
• Team collaboration features with role-based access
• Public capture pages for data collection

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Account Registration and Security

To use TelosX, you must create an account and provide accurate, complete information. You agree to:

• Provide truthful and current registration information
• Verify your email address before gaining full access
• Create a password that meets our security requirements: at least 8 characters, including one uppercase letter, one lowercase letter, one digit, and one special character
• Keep your login credentials confidential and not share them with others
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at support@telosx.ai if you suspect unauthorized access to your account

You may also sign in using Google or Microsoft authentication. When using third-party sign-in, you authorize those providers to share your name and email address with us.

4. Subscription Plans and Billing

4.1 Plans

TelosX offers three subscription tiers:

• Free — 3 workspace apps, 10 projects, 5 goals, 100 MB document storage, 50 AI messages per day, and a 14-day daily briefing trial. No email integration, sharing, or team features.
• Individual ($9/month or $85/year) — Unlimited workspace apps, projects, goals, and AI messages. Full daily briefing, email integration, AI email drafting, and one active share per workspace app. No team features.
• Team ($12/seat/month or $110/seat/year) — Everything in Individual, plus unlimited workspace sharing among team members, team-exclusive feed, and team member assignment.

Feature limits are enforced automatically. Administrators may have access to additional capabilities.

4.2 Billing and Payments

• All payments are processed securely by Stripe. We never see or store your payment card details.
• Paid subscriptions auto-renew at the end of each billing cycle unless cancelled.
• You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period.
• No refunds are provided for partial billing periods, except where required by applicable law.
• We reserve the right to change pricing with at least 30 days advance notice. Price changes will not affect your current billing period.

5. Acceptable Use Policy

You agree to use TelosX in a responsible manner. You may not use the Service to:

• Harass, threaten, bully, or intimidate other users
• Post hate speech, explicit content, or discriminatory material
• Spam, advertise, or post unsolicited promotional content
• Engage in targeted attacks, trolling, or deliberately destructive behavior
• Impersonate another person or misrepresent your affiliation
• Attempt to gain unauthorized access to other accounts or our systems
• Circumvent rate limits, security measures, or content moderation
• Upload malicious files, viruses, or harmful code
• Use the Service for any purpose that violates applicable law

Social posts on TelosX are subject to AI-powered content moderation. Content that reflects productivity updates, goal sharing, encouragement, professional discussions, and friendly conversation is welcome and encouraged.

6. Content Moderation and Enforcement

6.1 How Moderation Works

Social posts are reviewed by an AI moderation system. Each post receives one of the following verdicts:

• Approved — The post is visible to other users based on your privacy settings.
• Flagged — The post is held for manual review by an administrator. You may receive a suggested rephrase.
• Rejected — The post violates our content policies and will not be visible to others.

When the AI system has low confidence in its verdict, the post is flagged for manual human review rather than auto-approved.

6.2 Enforcement Actions

Repeated content violations result in escalating consequences:

• First rejection: You receive a warning notification.
• Second rejection: A deduction of 50 points from your gamification score, plus a warning notification.
• Third and subsequent rejections: A 24-hour restriction on creating social posts, a deduction of 100 points, and a warning notification.

We reserve the right to remove any content and to suspend or terminate accounts that repeatedly or egregiously violate these Terms or the Acceptable Use Policy. Administrators may review and override automated moderation decisions.

7. Intellectual Property

7.1 Your Content

You retain full ownership of all content you create on TelosX, including tasks, projects, goals, social posts, workspace records, documents, and any other material you submit.

By using the Service, you grant Dwellingly Inc. a limited, non-exclusive, royalty-free license to store, display, process, and transmit your content solely as necessary to provide and operate the Service. This includes processing your content through AI features (such as the assistant, daily briefings, and content moderation). This license ends when you delete your content or close your account, subject to reasonable backup and archival periods.

7.2 Our Platform

TelosX — including its design, source code, features, branding, logos, and documentation — is the intellectual property of Dwellingly Inc. and is protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Service without our prior written consent.

7.3 AI-Generated Content

Content generated by AI features — including task suggestions, daily briefings, email drafts, and workspace creation — is provided for your personal or organizational use. AI-generated content is provided without warranty of accuracy, completeness, or suitability. You are responsible for reviewing and verifying any AI-generated content before relying on it.

8. Third-Party Integrations

TelosX integrates with third-party services including Gmail, Microsoft Outlook, Google Sign-In, Microsoft Sign-In, and Stripe. Your use of these integrations is subject to the respective third party's terms of service and privacy policy.

• When you connect an integration, you authorize us to access the connected service on your behalf using OAuth tokens you grant.
• You may disconnect any integration at any time through your TelosX account settings. We also recommend revoking access from the third-party provider's own settings.
• We are not responsible for the availability, accuracy, or performance of third-party services. Changes or outages in third-party services may affect TelosX functionality.

9. Public Content and Sharing

TelosX provides several ways to share content. You are responsible for understanding the visibility of content you create:

• Social post privacy levels: You control who can see your social posts by choosing a privacy level — Private (only you), Team (your team members), Connected (your connections), or Public (all authenticated users).
• Profile pictures are publicly accessible once uploaded.
• Capture pages you create are publicly accessible without authentication at their unique URL.
• Workspace sharing: You may share workspace apps with other users at View or Edit access levels.
• Reposts and inspirations: When your content is reposted or marked as an inspiration, the original authorship is attributed to you.

10. Rate Limits and Service Limits

To ensure a fair and reliable experience for all users, we enforce the following limits:

10.1 Rate Limits

• Authentication requests: 10 per minute per IP address
• API mutations (creating or updating data): 60 per minute per IP address
• Chat/AI requests: 20 per minute per IP address
• File uploads: 30 per hour per IP address
• Capture page submissions: 5 per hour per IP address

Requests that exceed these limits receive an HTTP 429 (Too Many Requests) response. Persistent or deliberate abuse of rate limits may result in account review or suspension.

10.2 File Upload Limits

• Maximum file size: 50 MB per file
• Allowed file types: images (JPEG, PNG, GIF, WebP), documents (PDF, TXT, CSV), and Microsoft Office files (DOC, DOCX, XLS, XLSX, PPT, PPTX)
• Storage quotas are enforced based on your subscription tier

11. Disclaimers and Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. AI-powered features may produce inaccurate, incomplete, or inappropriate results. You are solely responsible for reviewing and verifying any AI-generated content before acting on it.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DWELLINGLY INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Dwellingly Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Content you create, upload, or share through the Service
• Your violation of these Terms or any applicable law
• Your infringement of any third-party rights

13. Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will post the updated Terms on this page with a revised effective date and provide at least 30 days notice before the changes take effect.

Your continued use of TelosX after the revised Terms take effect constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should discontinue use of the Service before they take effect.
